Terms of service
These Terms of Service govern your use of the Heroes Logistics Inc. website. They are not the binding contract for shipping freight with us — those are governed by our Master Transportation Agreement, the bill of lading for each shipment, and applicable federal and state law (including the Carmack Amendment, 49 U.S.C. § 14706).
1. Acceptance
By accessing or using this website, you agree to these Terms. If you don't agree, please don't use the site. Use of our trucking services additionally requires a signed shipper-carrier agreement or a confirmed bill of lading.
2. About Heroes Logistics
Heroes Logistics Inc. is a California corporation headquartered at . We operate as a motor carrier and property broker.
3. Website use
- You may use this site for lawful purposes only.
- You may not attempt to disrupt the site, its security, or other users (no scraping, DDoS, brute force, attempts to bypass rate limits, or unauthorized access attempts).
- You may not submit false freight quotes, false driver applications, or misrepresent your identity.
- Content on this site (including copy, layout, and the "Heroes Logistics" wordmark) is owned by Heroes Logistics Inc. or our licensors and may not be reproduced without written permission.
4. Quote requests are not contracts
Submitting a quote request or contact form does not create a binding shipping contract. A binding agreement to move freight only exists after we have:
- Issued a written rate confirmation (rate-con) for the specific load, AND
- Either picked up the freight under a bill of lading or executed a Master Transportation Agreement.
Quotes are typically valid for 7 days from issuance unless otherwise specified, and assume normal market conditions (fuel, capacity, weather).
5. Carrier liability for shipments
For freight we move under our motor-carrier authority, our liability is governed by the Carmack Amendment (49 U.S.C. § 14706). We are liable for actual loss or damage to cargo while in our possession, subject to released-value limits stated on the bill of lading or rate confirmation, and subject to standard carrier defenses (act of God, act of public enemy, act or default of shipper, act of public authority, or inherent vice of the goods).
Unless a higher value is declared and an excess-value charge is paid, our liability is limited per the released-value provisions of our published tariff or the rate confirmation. Cargo claims must be filed within 9 months of delivery (or, in case of non-delivery, within 9 months of a reasonable time for delivery) per 49 CFR § 370.
6. Brokered loads
When we tender a load to a third-party motor carrier under our brokerage authority, we act as the agent arranging transportation. The actual motor carrier is liable for cargo per the Carmack Amendment; we maintain $100,000 in contingent cargo coverage as a backstop. The shipper-carrier relationship is direct between you and the assigned carrier.
7. Payment terms
Net 30 days from delivery is our standard payment term for established shipper accounts in good credit standing. Quick-pay options are available with discount. Detention, layover, and accessorial charges are billed at rates published in our rate confirmation. Past-due invoices accrue interest at 1.5% per month or the maximum allowed by California law, whichever is less.
8. Driver applications
Submitting a driver application authorizes Heroes Logistics to contact you, request additional employment-history information from prior employers (per 49 CFR § 391.23), and conduct pre-employment screenings (motor vehicle record, drug and alcohol clearinghouse query, drug test) subject to your separate written consent for those screenings. Application does not constitute an offer of employment.
9. Disclaimers and limitation of liability
The website is provided "as is" and "as available". To the fullest extent allowed by law, Heroes Logistics disclaims all warranties — express or implied — including merchantability, fitness for a particular purpose, accuracy of website content, and non-infringement.
For website-related claims (not freight-related — freight liability is governed by the Carmack Amendment), our total cumulative liability to you is limited to $100. We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the website.
Where applicable law does not permit a particular limitation, that specific limitation does not apply, but the rest of these Terms remain in effect.
10. Indemnification
You agree to indemnify and hold Heroes Logistics harmless from claims arising out of: (a) your violation of these Terms, (b) your unauthorized use of the website, (c) misrepresentations in any quote request or driver application you submit, or (d) infringement of third-party rights through content you submit through this website.
11. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising under these Terms (excluding freight claims, which follow Carmack and the bill of lading) is the state or federal courts located in Los Angeles County, California.
12. Modifications
We may update these Terms at any time. Material changes will be highlighted on the website for 30 days. Continued use of the website after changes are posted means you accept the revised Terms.
